Disclaimer of Warranty. EXCEPT AS EXPRESSLY SET FORTH IN THIS PARAGRAPH, THE SERVICES AND GOODS TO BE PURCHASED UNDER THIS PURCHASE AGREEMENT ARE FURNISHED AS IS, WHERE IS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE.

Governing law. This Purchase Agreement shall be governed by and construed in accordance with the laws of The Commonwealth of Pennsylvania. The Parties also agree that the venue of any action to enforce the provisions of this Purchase Agreement, or any document executed in connection with this Purchase Agreement, shall be brought forth exclusively in the Court of Common Pleas of Fayette County, Pennsylvania. The Parties agree they will not contest the choice of law and venue provisions in this Paragraph.

Attorneys’ Fees. If any action at law or in equity is necessary to enforce or interpret the terms of this Purchase Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, costs and necessary disbursements in addition to any other relief to which such party may be entitled.

Review By Counsel. The Purchaser expressly acknowledges and represents that he/she has been given a full and fair opportunity to review this Purchase Agreement with an attorney of their choice and that they have satisfied themselves, with or without consulting with counsel, that the terms and provisions of this Purchase Agreement, are reasonable and enforceable.

Severability. In the event that any provision of this Purchase Agreement is found to be void and unenforceable by a court of competent jurisdiction, then the remaining provisions will remain to be enforced in accordance with the Parties’ intention.

Entire Agreement. The Parties agree that the terms contained in this agreement, taken together, shall constitute the entire agreement between the parties pertaining to the subject matter hereof and supersede all other agreements, understandings, negotiations and discussions, whether oral or written, of the parties and there are no warranties, representations or agreements between the parties in connection with the subject matter of the Contract Documents except as specifically set forth therein.

Acknowledgment. The Purchaser agrees that by purchasing said product or products, he/she hereby accepts the terms and conditions set forth in this Purchase Agreement.
